TERMS AND CONDITIONS
Quotations
All quotes are valid for a period of 30 days (unless otherwise stated on the quote). After the 30 days have passed, the provider reserve the right to alter or decline the quotation.
Payment
A 50% non-refundable deposit of the total fee payable is due prior to the commencement of any work.
The remaining 50% is due when the work is completed to your satisfaction. All work remains the property of the provider until full payment has been received. Unless otherwise agreed, payment terms are strictly 7 days.
If you terminate the contract after the work has started, the deposit is non-refundable(ie. No change of mind refunds once work has commenced).
For web hosting, maintenance and support services if the overdue payments are not paid by the due date, the accounts will be suspended anytime after 7 days without any further notice. We take no responsibility for any loss of data or emails during the account suspension period.
If we decide to get help from a third party organisation to recover a debt, you are also responsible for paying any additional costs involved in recovering that debt, including legal expenses.
Supply of materials
You must supply all information and materials required by the provider to complete the works unless otherwise agreed. Any delays in receiving information will result in delays to the completion of the project.
Approvals
All approvals must be completed within a 7 day period unless otherwise agreed. At each approval point I expect to have a reply with acceptance or a request for modifications of the website content or aesthetic changes.
On completion of the work, you will be notified and have the opportunity to review it. You have 14 business days to notify the provider of any unsatisfactory points. Any work which has not been reported in writing as being unsatisfactory will be deemed to have been approved and invoice you for all work completed up to that date.
Once approved, or deemed approved, work cannot subsequently be rejected and the project will be deemed to have been completed and the 50% balance of the project price will become due.
Variations / Revisions
Each Web Recipes design package comes with three rounds of revisions allowable.
Following the use of the included revisions, further revisions will be charged at an additional rate.
If the scope of work changes during the project, the provider reserve the right to charge a set hourly rate of $120 per hour.
Timeframes
The provider only takes on a certain number of jobs at a time to ensure completion within a highly reasonable timeframe. However you acknowledge that circumstances may arise that may affect the ability of the provider to complete the work in the estimated timeframes, and as such you agree to indemnify the provider against any loss or damage incurred as a result of delayed completion.
Intellectual Property
You must ensure that you have obtained any required permissions for all copy, logos, trademarks or images that you provide for your website. You must indemnify the provider and hold the provider harmless from any claims or legal actions related to the content of your website.
The provider reserve the right to refer to this project and your business name, and to use your logo and content for promotional or educational purposes.
Search Engine Optimisation
The provider does not guarantee any specific position in search engine results for your website. The provider can provide basic SEO help and guidance in accordance with best practice.
Non-Disclosure
The provider agrees not to disclose any of your confidential information to any third party.
Backups
Once the website has been handed over to you, you are responsible for all backups and maintenance on your website. This is unless you have an ongoing service contract with us, then the provider is responsible for performing backups. Regardless of any service contracts, you should still ensure you have your own backups available. The provider cannot be held responsible for any loss of data or income due to scheduled maintenance or lack of backups.
Indemnification
You agree to indemnify and hold harmless the provider from any claims or legal actions related to the content of your website, or any other content provided by the provider and accepted by you.
Upon completion and acceptance of your website, the provider is not responsible for any changes to the website or content (unless otherwise contracted by you), any issues relating to domain names or hosting, the security of the website, or any other concerns relating to the website.
Jurisdiction
This agreement is subject to the laws of Australia and any applicable state. If there is a dispute between you and the provider that results in litigation then you submit to the jurisdiction of the relevant courts of Australia or the relevant state.
ACCEPTANCE
Please note that by submitting your payment, you are agreeing to all of our terms of service as they are written here. Web Recipes reserves the right to change or update these terms at any time without prior notice. The user of this site agrees to the terms of this agreement on behalf of his or her organization or business. This Agreement constitutes the entire understanding of the parties. Any changes or modifications thereto must be in writing and signed by both parties.
